Terms of Service

The following Site Policies (“Agreement”) governs the use of www.EasyEventPlanning.com (“Website”), including without limitation its content, tools, reviews, social networking structure, instant chat and all other areas (except to the extent stated otherwise below). Easy Event Planning LLC will hereto be referred to as “EEP” or “We”.

You can access this Agreement any time at https://easyeventplanning.com/terms-of-service.  Your use of and/or registration on any aspect of the Website will constitute your agreement to comply with these policies as well as our Privacy Policy (https://easyeventplanning.com/privacy-policy).

The Agreement may be modified from time to time; the date of the most recent revisions will appear at the top of this page. Continued access of the Website by you will constitute your acceptance of any changes or revisions to the Agreement. Your failure to follow these policies may result in suspension or termination of your access to the Website, without notice.

1. REGISTRATION DETAILS

A.  EEP allows you to use many areas of the site as a guest user. However, certain functionality (adding a vendor profile, writing a review, creating an event, establishing a connection and others) requires an account be created. To create an account, a valid email address and password will be required. Additional registration information (collectively, “Registration Details” may also be required). “Registration Details” may also include information entered for inclusion in vendor profiles and other advertisements.

B.  You agree and represent that all Registration Details you provide are accurate and up-to-date. You may not imitate, impersonate or pretend to be somebody else when registering and/or setting up an account on the Website. If any of your Registration Details change, you must update it on the “My Account Settings” page. Use of Registration Details is governed by this Agreement and our Privacy Policy.

C.  If you create an account on the Website, you will be solely responsible for keeping your Registration Details, including your password, confidential. You may not authorize others to use your Registration Details, nor may you transfer, sell, sub-license or assign your Registration Details and/or this Agreement to any third party without our written approval.

D.  You are responsible for all usage or activity on your account including, but not limited to, use of the account by any person who uses your Registration Details, with or without authorization, or who has access to any computer on which your account resides or is accessible. We recommend you log off at the end of each session at our Website.

E.  You are not permitted to use another person’s account at the Website.

F.  If you have reason to believe that your account is no longer secure, you must promptly change the affected Registration Details by updating the fields on the “My Account Settings” page or notifying us at [email protected].

G. You are permitted to create only one personal user account at the Website.

2. USE OF THIS WEBSITE BY YOU

A.  The Website is not intended for users under the age of 16, and EEP does not knowingly collect personally identifiable information from users under the age of 16. Such users are expressly prohibited from submitting their personally identifiable information to us, and from using portions of the Website for which registration is required; any information submitted by such users will not knowingly be used, posted, or retained by EEP. EEP strongly encourages supervision by parents and guardians in the use of the Internet by all children under the age of 18.

B.  If you choose to write a vendor review, your first and last names will appear alongside the event date/date of interaction with the vendor on all of that vendor’s profiles. Your reviews also appear on your public profile but you can control who sees this page of your profile by clicking on the “Profile” link in your User Menu and then choosing “Privacy Settings”. EEP reserves the right (but not the obligation) to remove or edit such content, but does not regularly review posted content.

I.  You agree not to attack, modify, disrupt, overwhelm, reverse engineer or interfere with the Website or its associated software, hardware and/or servers in any way, and you agree not to impede or interfere with others’ use of the Website.

J. You are not permitted to “stream catch” (download, store or transmit copies of streamed Website content).

3. TERMINATION AND MODIFICATION OF THIS WEBSITE

A. You agree that we, in our sole discretion, may refuse service, terminate your account (or any part thereof) or use of the Website, and remove and discard any material you have posted to the site, for any reason, including, without limitation, for lack of use, or if we believe that you have violated or acted inconsistently with the letter or spirit of this Agreement. We may also take over a user account if EEP deems it necessary. We do not permit gun-related events or businesses to post content to this Website. We will also terminate your account upon receiving reliable information involving your violation of any law, and will cooperate with law enforcement agencies on such matters. You are not permitted to continue using this Website upon receiving notice that EEP has inactivated or deleted your account.

B. We may also, in our sole discretion and at any time, discontinue providing access to the Website, or any part thereof, with or without notice. You agree that any termination of your access to the Website under any provision of this Agreement may be effected without prior notice, and acknowledge and agree that we may immediately deactivate or delete your account and all related information and files in your account, and/or bar any further access to such files or the Website. Further, you agree that we shall not be liable to you or any third party for any termination of your access to the Website.

4. EEP DOES NOT ENDORSE OR VERIFY CONTENT

A. EEP does not necessarily agree with, endorse, support, sanction the comments, opinions or statements posted on profiles, posts, reviews or content otherwise contained in the Website. EEP does not verify any of this content. Any information or material placed online, including advice, opinions and special offers, are the views and responsibility of those who post the statements and do not necessarily represent the views of EEP or its third party service providers. You agree that EEP and its third party service providers are not responsible, and shall have no liability to you, with respect to any information or materials posted by others, including offensive, defamatory or illicit material, even material that violates this Agreement.

B. EEP does not warrant that information contained at this Website, including information provided by vendors is accurate, complete, current or free of errors.

C. You acknowledge that EEP has not reviewed and does not endorse the content of any sites linked to from this Website and is not responsible for the content or actions of any other sites linked to from this Website. If you choose to link to other sites or services from this Website, it is at your own risk.

D. The content provided at this site is for informational purposes only and is in no way intended to provide expert guidance. EEP accepts no responsibility for the outcome of your event or the experience/interaction you have with any user or vendor of this Website. EEP will not be responsible for or involved in resolving any disputes between users and vendors at the Website.

5. USE OF CONTENT SUPPLIED BY YOU

A. If you do post content or submit material, and unless we indicate otherwise, you grant EEP a perpetual, nonexclusive, irrevocable, royalty-free, and fully sub licensable right to use, adapt, publish, reproduce, modify, translate, create derivative works from, distribute, and display such content throughout the world in any media. You grant EEP and sub licensees the right to use the name that you submit in connection with such content.

B. You represent and warrant that you own or otherwise control all of the rights to the content that you post; that the content is accurate and does not constitute confidential/proprietary information or trade secrets; that use of the content you supply does not violate this Agreement and will not cause injury to any person or entity including but not limited to intentionally distributing viruses, spyware, worms, corrupted files, harmful code or hoaxes; and that you will indemnify EEP and hold EEP harmless for all claims resulting from content you supply.

C. EEP reserves the right, but undertakes no duty, to review, edit, move or delete any material provided for display or placed on the Website at its sole discretion, without notice. EEP takes no responsibility and assumes no liability for any content posted by you or any third party.

D. If you choose to create a vendor profile (managed or unmanaged by you):

– The business name cannot contain any content other than the legal business name. The following are prohibited: contact details, website address, pricing, reference to any awards, business location (unless there are multiple locations), description of services, special characters or capital letters added to gain attention ({ [ “ ! etc), unless part of the legal business name, areas served and directions.

– The website field cannot contain any social media links. It also cannot contain the URL of a website directory. We have all of the popular social media fields available as separate fields for Vendors with Basic and Featured profiles.

– If you do not wish for your street address to appear in the directory itself, please check “Don’t display on profile”. Your city and state will still appear on your profile but you will not have a pin on the map, if a map is relevant for your category.

– You are not permitted to link to any external directory sites within your Category Description. You may only link to a website or social media sites within this field if you have paid for a Featured or Basic profile.

– Only one vendor account is permitted per business location. Multiple category profiles can be created, at no charge, for that business – one profile per category.

– You may not conduct any kind or contest, promotion or sweepstakes without posting the official rules.

– You understand that EEP does not endorse your business, products or services and is not involved in or responsible for transactions that result from your participation on this Website. EEP will not be party to any disputes between users and vendors.

– You understand that EEP does not provide live support for Free profiles but has resources available at support.EasyEventPlanning.com to answer your questions. Email and live chat support is available for Basic profiles and phone, email and live chat support is available for Featured profiles.

– You may not offer to sell or otherwise provide products or services in a matter that may violate any laws, statutes, ordinances or regulations.

– You may not advertise the products or services of others and you may not link to third-party websites, including but not limited to, third party site that contain a directory of event vendors and those not specifically linked to from EEP profiles (Twitter, for example).

6. COPYRIGHT COMPLAINTS

A.  EEP respects the intellectual property of others. EEP may, at its discretion, suspend or terminate the access of and take other action against users who infringe the copyright rights of others.

B.  If you believe that your work has been copied and is accessible on the Website in a way that constitutes copyright infringement, or that the Website contains links or other references to another online location that contains material or activity that infringes your copyright rights, you may notify EEP by providing the following information (as required by the Online Copyright Infringement Liability Limitation Act of the Digital Millennium Copyright Act, 17 U.S.C. sec. 512):

a. Identification of the copyrighted work claimed to have been infringed, or if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at that site;

b. Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit EEP to locate the material;

c. Information reasonably sufficient to permit EEP to contact the complaining party, such as an address, telephone number, and if available, an electronic mail address at which the complaining party may be contacted;

d. A physical or electronic signature of person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;

e. A statement that the complaining party has a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and

f. A statement that the information in the notification is accurate, and under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

7. MERCHANSIDE OR SERVICES FEATURED ON THIS WEBSITE

Transactions for any such item featured at this Website shall be between the user and the third party seller, vendor, advertiser, individual, distributor, manufacturer or otherwise without any involvement of EEP. You agree that EEP is not responsible, and shall have no liability to you, with respect to merchandise, products, and/or services featured, mentioned, sold, or distributed on or through the Website, including illegal, offensive or illicit items, even items that violate this Agreement.

8. INDEMNIFICATION

You agree to indemnify EEP and its affiliates, employees, agents, representatives and third party providers, and to defend and hold each of them harmless, from any and all claims and liabilities (including attorneys fees) which may arise from your content and submissions, from your unauthorized use of material obtained through the Website, or from your breach of this Agreement, or from any such acts through your use of the Website. You agree not to sue EEP as a class plaintiff or class representative or participate as an adverse party in any way in a class-action lawsuit against EEP.

9. DISCLAIMER OF WARRANTY AND LIMITATION OF LIABILITY

YOU ACKNOWLEDGE THAT YOU ARE USING THE WEBSITE AT YOUR OWN RISK. THE WEBSITE IS PROVIDED “AS IS”, AND EEP, ITS AFFILIATES, EMPLOYEES, AGENTS, REPRESENTATIONS AND THIRD PARTY SERVICE PROVIDERS HEREBY EXPRESSLY DISCLAIM ANY AND ALL WARRANTIES, EXPRESS AND IMPLIED, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, ACCURACY, TITLE, NON-INFRINGEMENT, FITNESS FOR A PARTICULAR PURPOSE, RELIABILITY OR ANY OTHER CONDITION, WARRANTY, GUARANTEE OR REPRESENTATION, WHETHER ORAL, IN WRITING OR IN ELECTRONIC FORM, INCLUDING BUT NOT LIMITED TO THE ACCURACY OR COMPLETENESS OF ANY INFORMATION CONTAINED THEREIN OR PROVIDED BY THE WEBSITE. EEP, ITS AFFILIATES, EMPLOYEES, AGENTS, REPRESENTATIONS AND THIRD PARTY SERVICE PROVIDERS DO NOT REPRESENT OR WARRANT THAT ACCESS TO THE WEBSITE WILL BE UNINTERRUPTED OR THAT THERE WILL BE NO OMISSIONS, ERRORS OR FAILURES OR LOSS OF TRANSMITTED INFORMATION ON BEHALF OF USERS OR VENDORS, OR THAT NO VIRUSES WILL BE TRANSMITTED ON THE WEBSITE.

EEP, ITS AFFILIATES, EMPLOYEES, AGENTS, REPRESENTATIONS AND THIRD PARTY SERVICE PROVIDERS SHALL NOT BE LIABLE TO YOU OR ANY THIRD PARTIES FOR ANY DIRECT, INDIRECT, SPECIAL, PUNITIVE OR CONSEQUENTIAL DAMAGES ALLEGEDLY SUSTAINED ARISING OUT OF THIS AGREEMENT, THE PROVIDING OF THE WEBSITE HEREUNDER, THE SALE OR PURCHASE OF ANY GOODS OR MERCHANDISE, YOUR ACCESS TO OR INABILITY TO ACCESS THE WEBSITE, INCLUDING FOR VIRUSES ALLEGED TO HAVE BEEN OBTAINED FROM THE WEBSITE, YOUR USE OF OR RELIANCE ON THE WEBSITE OR ANY OF THE INFORMATION, MERCHANDISE, MATERIALS OR INFORMATION AVAILABLE ON THE WEBSITE, REGARDLESS OF THE TYPE OF CLAIM OR THE NATURE OF THE CAUSE OF ACTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. YOU HEREBY AGREE TO RELEASE EEP, ITS AFFILIATES, EMPLOYEES, AGENTS, REPRESENTATIONS AND THIRD PARTY SERVICE PROVIDERS, AND EACH OF THEIR RESPECTIVE DIRECTORS, OFFICERS, AGENTS AND EMPLOYEES FROM CLAIMS, DEMANDS AND DAMAGES (ACTUAL AND CONSEQUENTIAL) OF EVERY KIND AND NATURE, KNOWN AND UNKNOWN, SUSPECTED AND UNSUSPECTED, DISCLOSED AND UNDISCLOSED (“CLAIMS”), ARISING OUT OF OR IN ANY WAY CONNECTED WITH YOUR USE OF THIS SITE. IF YOU ARE A CALIFORNIA RESIDENT, YOU WAIVE CALIFORNIA CIVIL CODE SECTION 1542, WHICH STATES, IN PART: “A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM MUST HAVE MATERIALLY AFFECTED HIS SETTLEMENT WITH THE DEBTOR”.

10. JURISDICTION

A.  EEP makes no representation that materials on the Website are appropriate, available or legal in any particular location. Those who choose to access the Website do so on their own initiative and are responsible for compliance with local laws, if and to the extent local laws are applicable.

B.  You agree that this Agreement, for all purposes, shall be governed and construed in accordance with the laws of the State of Nevada applicable to contracts to be wholly performed therein, and any action based on, relating to or alleging a breach of this Agreement must be brought in a state or federal court in Clark County, Nevada. In addition, both parties agree to submit to the exclusive personal jurisdiction and venue of such courts. Please note that Easy Event Planning LLC is registered in the state of Nevada but the mailing address for the business is PO Box 84, Binghamton, NY 13903-0084.
